Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Evalanta platform, website, mobile interfaces, and related services (collectively, the "Services"). Please read them carefully.

1. Who we are

Evalanta is a multi-sided learning and creator marketplace operated by Evalanta Ltd. ("Evalanta", "we", "us", or "our"). Our Services connect learners, course creators, coaches, organisations, and affiliates in Bangladesh, Australia, and other markets.

2. Accounts and eligibility

To use most features, you must register an account and be at least 16 years old, or have the consent of a parent or guardian if your jurisdiction allows account creation below that age. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity that occurs under your account.

We may suspend or terminate accounts that violate these Terms, applicable law, or the rights of others. If we suspend a creator account, learners enrolled in that creator's paid offerings will continue to receive access for the period they paid for, unless law or safety reasons require otherwise.

3. Your role on Evalanta

The Services include distinct roles:

  • Learners purchase, enrol in, and consume courses, live classes, coaching, and other learning content.
  • Creators publish and monetise courses, live offerings, coaching, and related content.
  • Organisations purchase team access, assign learning, and manage members under a separate organisation agreement.

A single user may hold more than one role. The obligations that apply to you depend on the role you are acting in at the time.

4. Content and intellectual property

Creators retain ownership of the original content they upload ("Creator Content"). By publishing content on Evalanta, creators grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, adapt (for formatting and accessibility), promote, and distribute the content solely for the purpose of operating and improving the Services.

Learners receive a limited, non-transferable, non-exclusive licence to access purchased content for personal, non-commercial learning purposes while their enrolment is active.

You may not copy, scrape, redistribute, or resell content except as expressly permitted. We respond to valid copyright infringement notices under our Copyright Policy and applicable law.

5. Payments, fees, and taxes

Learners pay the price displayed at checkout, plus any applicable taxes. We accept payment methods such as card payments through Stripe. bKash is a planned local payment method for Bangladesh and will only be available once our partnership with bKash Limited receives final approval.

For creators, we deduct platform fees, payment-processor fees, and applicable taxes (including withholding taxes such as Bangladesh TDS where required by law) before paying out earnings. Bangladeshi creators must provide a verified e-TIN to receive payouts; TDS is 10% with a verified e-TIN and 15% without one. Payouts are subject to minimum thresholds, chargeback reserves, and verification requirements described in our Creator Terms and Payout documentation.

6. AI features

Evalanta offers AI-assisted features such as course outlines, lesson drafts, and quiz generation. AI outputs are generated by third-party models accessed through our AI gateway. You may not use AI features to generate unlawful, harmful, deceptive, or infringing content. Creators remain responsible for reviewing and verifying AI-generated material before publishing.

7. Acceptable use

You agree not to use the Services to:

  • Harass, abuse, or discriminate against others;
  • Upload or share content that infringes intellectual property or violates applicable law;
  • Circumvent access controls, share accounts, or manipulate ratings or reviews;
  • Distribute malware, spam, or phishing attempts;
  • Collect personal data about other users without consent.

We may remove content, suspend accounts, or report conduct to authorities where required by law, including under the Bangladesh Cyber Security Act 2023 / Cyber Security Ordinance 2025 and the Australian Online Safety Act 2021.

8. Termination

You may close your account at any time. We may suspend or terminate access for breaches of these Terms, non-payment, fraud, or legal compliance reasons. Provisions that by their nature should survive termination (including payment obligations, content licences, liability limits, and dispute resolution) will survive.

9. Disclaimers and liability

The Services are provided on an "as is" and "as available" basis. Evalanta does not guarantee specific employment, certification, or income outcomes from using the platform. Creator Content reflects the views of the creator, not Evalanta.

To the extent permitted by law, our total liability is limited to the amount you paid us in the twelve months before the claim, or AUD $100 / BDT 10,000, whichever is higher. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

10. Australian Consumer Law

If you are an Australian consumer, the Australian Consumer Law gives you consumer guarantees that cannot be excluded, restricted, or modified. These Terms do not affect your statutory rights, including your right to a refund, replacement, or compensation for a major failure with a service.

11. Bangladesh law and consumer rights

If you are in Bangladesh, these Terms are subject to Bangladeshi law. Nothing in these Terms excludes your rights under the Protection of Consumer Rights Act 2009. Complaints may be raised with the Directorate of National Consumer Rights Protection (DNCRP) in addition to our support channels.

12. Governing law and disputes

For users in Australia, these Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts. For users in Bangladesh, these Terms are governed by the laws of Bangladesh, and disputes are subject to the courts of Bangladesh. For all other users, the governing law is the law of the jurisdiction where Evalanta Ltd. is established, unless local law requires otherwise.

Before commencing court proceedings, the parties agree to use reasonable endeavours to resolve disputes through good-faith negotiation and, where appropriate, mediation.

13. Changes to these Terms

We may update these Terms from time to time. Changes will be posted on this page and, where appropriate, notified through the Services. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
